a) Panama Corporation:

Includes:

1. Resident Agent

2. Registered Office

3. Nominee Directors (if required)

4. Official deed of incorporation, issued by a Notary Public evidencing the registration of the company with the Public Registry.

5. Official English translation of the deed of Incorporation issued by Authorized Public Translator.

6. Assignment of subscription deed, issuing to the bearer two shares subscribed for at incorporation.

7. Bearer share certificates 1 and 2, for one share each, evidencing the two shares issued with the Incorporation.

8. Minutes of a meeting of the Board of Directors, authorizing the issuing of the original two shares.

9. Official Power of Attorney -if requested- , duly translated into English by an authorized public translator. The power of Attorney is issued under instructions and shall take the form of a meeting of the shareholders.

10. Certificate of Incumbency issued by the directors-officers, duly certified by Notary Public and/or letter of introduction by our office, as resident agents of the company. These letters are often requested for bank purposes.
